1. Scope and acceptance
These terms of use (the "Terms") govern access to and use of all services operated under the Black Cat Events brand, including the blackcat.events website, mobile applications (iOS and Android) and any related services (hereinafter the "Services").
By accessing the Services, creating an account or using them in any way, you represent that you have read, understood and unconditionally accepted these Terms. If you do not agree with all or part of the Terms, you must immediately stop using the Services.
2. Description of the Services
The Services provide an informational and community tool dedicated to live poker tournaments organised by partner venues: viewing schedules, indicative registration, tracking rankings and results. Black Cat Events acts as a technology platform and does NOT constitute a gambling operator, a betting operator, or a financial services provider.
All information displayed (rankings, scores, results, venue data) is provided for purely informational and indicative purposes. Final decisions regarding tournaments, scores and rankings rest exclusively with the on-site organisers and their own regulations.
3. User account
Creating an account is required to access certain features. You agree to provide accurate, complete and up-to-date information, and to create only one account per natural person.
You are solely responsible for the confidentiality of your login credentials and for all activity carried out under your account, whether or not authorised by you. You must notify us immediately of any unauthorised use or security incident.
We reserve the right, at our sole discretion and without prior notice or justification, to suspend, restrict or permanently delete any account, for any reason whatsoever, including but not limited to: breach of these Terms, abusive behaviour, suspicious activity, prolonged inactivity, or at our convenience for operational reasons. No compensation or indemnity of any kind shall be owed to the user in the event of account suspension or deletion.
4. Code of conduct
By using the Services you agree to: (a) comply with all applicable laws and respect the rights of third parties; (b) not publish content that is defamatory, obscene, threatening, discriminatory, fraudulent or unlawful; (c) not attempt to circumvent security measures, gain unauthorised access to systems, reverse-engineer, scrape data, or interfere with the operation of the Services; (d) not impersonate any person or create fake accounts; (e) not use the Services for commercial purposes not expressly authorised by Black Cat Events.
Any breach of these rules may result in the immediate suspension or deletion of your account, without prejudice to our right to pursue any available remedy at law.
5. Intellectual property
All elements of the Services — including but not limited to trademarks, logos, trade names, text, graphics, images, photographs, sounds, videos, software, databases, source and object code, interfaces, design and technical architecture — are and remain the exclusive property of Black Cat Events or its licensors, and are protected by applicable intellectual property law.
Nothing in these Terms grants the user any ownership right over any element of the Services. Any reproduction, representation, distribution, modification, adaptation, translation, extraction or reuse, in whole or in part, of any element of the Services, by any means whatsoever, without the prior written authorisation of Black Cat Events, is strictly prohibited and constitutes infringement subject to civil and criminal penalties.
6. User-generated content
You retain your intellectual property rights in content you post or upload via the Services (text, images, etc.). However, by submitting content you grant Black Cat Events a worldwide, non-exclusive, royalty-free, transferable, sub-licensable and irrevocable licence, for the maximum duration of protection provided by law, to use, reproduce, modify, adapt, publish, translate, distribute, display and incorporate such content in any medium and by any means, for the purpose of operating, promoting and improving the Services.
You represent and warrant that: (a) you hold all rights, licences and consents necessary to submit such content and to grant the licence above; (b) the content does not infringe any third-party right (including intellectual property, image and privacy rights); (c) the content contains nothing unlawful. In the event of any third-party claim arising from content you have submitted, you agree to hold us harmless and to indemnify us in full (see Section 9).
We reserve the right, but not the obligation, to moderate, reject, remove or de-reference any user content at any time and without notice or justification.
7. Limitation of liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLACK CAT EVENTS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY OR AVAILABILITY.
In no event shall Black Cat Events, its officers, employees, partners, service providers or licensors be liable for any damages whatsoever — including but not limited to direct, indirect, incidental, special, consequential, punitive or exemplary damages, loss of profits, data, goodwill, business opportunities, or reputational harm — arising out of or in connection with: (a) your use of or inability to use the Services; (b) any act or omission of any third party (including partner venues, tournament organisers and other users); (c) any inaccuracy, error or omission in content, rankings, results or information displayed; (d) any unauthorised access to or alteration of your data; (e) any interruption, suspension or discontinuation of the Services.
If, notwithstanding the foregoing, the liability of Black Cat Events is established for any cause whatsoever, the total amount of compensation owed by Black Cat Events to the user, for all causes combined, shall be limited to the greater of: (i) the amounts actually paid by the user to Black Cat Events during the twelve (12) months preceding the event giving rise to liability, or (ii) fifty euros (€50). This limitation constitutes a material element of Black Cat Events' consent to provide the Services.
8. Specific disclaimers
Black Cat Events is not responsible for the actions, decisions, content or conduct of partner venues, tournament organisers, or other users. Black Cat Events is not a party to relationships between users and venues or organisers and shall not be held liable for any disputes, injuries, losses or damages arising from such relationships or from participation in events.
Black Cat Events does not guarantee the availability, accuracy, completeness or timeliness of information relating to tournaments, rankings or results. Users acknowledge that technical errors, delays or omissions may occur and that Black Cat Events shall not be held liable for them.
9. Indemnification
You agree to defend, indemnify and hold harmless Black Cat Events, its officers, employees, agents and partners from and against any and all claims, demands, actions, losses, damages, costs or expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Services; (b) any content you submit or publish; (c) your breach of these Terms or applicable law; (d) your infringement of any third-party right.
10. Modification and discontinuation of the Services
Black Cat Events reserves the right, at any time and without prior notice or justification, to modify, temporarily or permanently suspend, or discontinue all or part of the Services. No modification, interruption or discontinuation of the Services shall give rise to any indemnity, compensation or liability towards users.
11. Amendments to the Terms
We reserve the right to amend these Terms at any time. Any amendment becomes effective upon publication on the Services. The last updated date is shown at the top of the page. Your continued use of the Services after publication of a revised version constitutes unconditional acceptance of the new version. If you do not accept the new Terms, you must stop using the Services and delete your account.
12. Severability
If any provision of these Terms is held invalid, illegal or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.
13. Waiver
The failure or delay of Black Cat Events to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy. Any waiver must be express and in writing.
14. Governing law and jurisdiction
These Terms are governed by and construed in accordance with French law. Unless mandatory consumer-protection provisions provide otherwise, any dispute relating to the validity, interpretation, performance or termination of these Terms shall be submitted to the exclusive jurisdiction of the competent courts of the seat of Black Cat Events.
If you are a consumer residing in a European Union member state, you benefit from mandatory provisions of the law of your country of residence which cannot be derogated from by agreement. Nothing in these Terms deprives consumers of the rights that applicable law mandatorily grants them.
15. Entire agreement
These Terms, the Privacy Policy and any other document expressly incorporated by reference constitute the entire agreement between you and Black Cat Events regarding the use of the Services, and supersede all prior agreements, proposals or communications, written or oral, relating to their subject matter.
